Terms of Use

1. Agreement to Terms

These Terms of Use constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Data Sheet Solutions LLC (“Company,” “we,” “us,” or “our”), governing your access to and use of our website, software platform, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization.

2. Description of Services

SDS Toolbox

A hosted, self-managed platform that allows customers to upload, store, organize and manage SDS documents; provide employee access; and generate binders, labels and reports. Toolbox customers are responsible for their content and data management.

SDS Autopilot

Managed services may include SDS collection and library building from customer-provided data, requests to manufacturers or suppliers, inventory-based SDS curation, and periodic maintenance. Services rely on information supplied by the customer and remain subject to customer review and approval.

3. License and Use

We grant you a limited, non-exclusive, non-transferable right to use the Service for internal business purposes. You may not reverse engineer, copy or modify the Service; attempt unauthorized access; interfere with performance; use the Service unlawfully; or provide access to unauthorized users. You are responsible for protecting login credentials.

4. Customer Responsibilities

You are responsible for all SDS documents and content used in the Service, the accuracy and legality of your data, and compliance with applicable laws including OSHA and environmental regulations. Data Sheet Solutions does not control customer content and assumes no responsibility for it except as expressly agreed for managed services.

5. Intellectual Property

The Service, software, features and functionality are owned by Data Sheet Solutions LLC and protected by applicable intellectual-property laws. Safety Data Sheets and third-party materials remain the property of their respective owners.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” We do not guarantee that SDS content is accurate or complete, that the Service will meet every requirement, or that it will be uninterrupted or error-free.

7. SDS and Compliance Disclaimer

Data Sheet Solutions does not author SDS documents, guarantee their accuracy or completeness, or make compliance decisions for customers. You are responsible for deciding whether SDS materials and procedures are appropriate for your operation and regulatory requirements.

8. Limitation of Liability

To the fullest extent permitted by law, Data Sheet Solutions is not liable for indirect, incidental or consequential damages, or for loss of data, profits or business interruption. Total liability will not exceed the amount paid for the Service during the preceding twelve months.

9. Indemnification

You agree to defend and indemnify Data Sheet Solutions LLC against claims arising from your use of the Service, uploaded content, or violations of law or third-party rights.

10. Termination

We may suspend or terminate access for violations of these Terms, security concerns, or misuse of the platform.

11. Modifications

We may modify, update or discontinue portions of the Service and may update these Terms. Continued use after an update constitutes acceptance.

12. Governing Law

These Terms are governed by California law. Disputes shall be resolved in California courts or through binding arbitration, at our discretion.

13. Privacy

Use of the Service is also governed by our Privacy Policy.
